By engaging AkraDevs ("Agency", "We", "Us", "Our") for design, branding, MVP development, or design system engineering services, or by accessing our website (akradevs.com), you ("Client", "User", "You") agree to be bound by these Terms & Conditions.
If you do not agree to these terms, you must immediately cease all engagement with our services and exit this website. Any modification to these terms must be agreed upon in writing by both parties in a signed Statement of Work (SOW).
AkraDevs provides digital product services across six primary disciplines: UI/UX Design, SaaS Design, Branding, Webflow/Framer Development, MVP Development, and Design Systems.
Each project engagement will be governed by a separate, mutually agreed-upon Statement of Work (SOW) or proposal defining the scope of work, deliverables, timelines, and fees. Any work requested outside the scope of an active SOW will be billed at our standard hourly rates or structured under a new SOW.
Client agrees to pay all fees outlined in the respective SOW. Unless otherwise specified, we operate on a milestone-based billing schedule, requiring an upfront deposit (typically 50%) before project kickoff, with subsequent milestones billed upon delivery.
Invoices are payable within 7 calendar days of receipt. Late payments will incur a service charge of 1.5% per month on any outstanding balance. AkraDevs reserves the right to suspend all active development, hosting, and design services if payments are overdue.
Ownership: Upon receipt of full and final payment for all deliverables outlined in the SOW, AkraDevs assigns and transfers all rights, title, and interest in the custom deliverables (including custom code, UI/UX designs, Figma files, and brand assets) to the Client.
Pre-existing Materials: AkraDevs retains ownership of any pre-existing materials, developer tools, library modules, UI frameworks, or boilerplate code utilized during the project. We grant the Client a non-exclusive, perpetual, royalty-free license to use and modify such pre-existing materials solely as incorporated into the deliverables.
Portfolio Display: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), Client grants AkraDevs the right to display project deliverables, case studies, screenshots, and the Client's name/logo in our marketing materials, portfolio, and website.
Our ability to deliver high-quality work on tight deadlines depends on active, timely cooperation from the Client. You agree to provide all necessary assets (copy, branding guidelines, api keys, media assets) and constructive feedback within agreed timeframes (typically within 48 hours).
AkraDevs is not liable for project delays, missed milestones, or budget overruns resulting from Client delays, failure to provide inputs, or sudden changes in project direction (scope creep).
Either party may terminate an engagement for convenience upon 14 days written notice. In the event of termination, the Client will be invoiced for all work completed, milestones reached, and hours logged up to the effective date of termination.
Either party may terminate an engagement immediately for material breach if the breaching party fails to remedy the breach within 7 days of receiving written notice from the non-breaching party.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AKRADEVS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES PROVIDED.
AKRADEVS' TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING UNDER A SPECIFIC STATEMENT OF WORK (SOW) SHALL NOT EXCEED THE ACTUAL AMOUNT PAID BY THE CLIENT TO THE AGENCY UNDER THAT SOW.
These Terms & Conditions and all SOWs shall be governed by, construed, and enforced in accordance with the laws of Ghana, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these terms shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be referred to and finally resolved by arbitration in Accra, Ghana.
